1. Agreement

These Terms of Service ("Terms") govern your use of the Classivore API and website (the "Service") operated by Noe Software Solutions LLC ("we," "us," or "our"), a Connecticut limited liability company. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Classivore provides a text classification API that classifies content against standard taxonomies (such as IAB Content Taxonomy 2.2). The Service is provided on a subscription and usage basis as described on our pricing page.

3. Accounts

You must provide a valid email address and keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at support@classivore.com if you suspect unauthorized use.

You must be at least 13 years old to use the Service. By creating an account, you represent that you meet this requirement.

4. Acceptable Use

You agree not to use the Service to:

Violate any applicable law or regulation
Attempt to reverse-engineer, scrape, or copy the underlying models or classification logic
Submit content that is illegal, harmful, or violates the rights of others
Circumvent rate limits or usage restrictions, including through the use of multiple accounts
Resell or sublicense API access without our written consent
Use the Service in any way that could damage, disable, or impair our infrastructure

5. API Keys

Your API keys are credentials. Do not share them publicly or embed them in client-side code. We are not liable for charges or data exposure resulting from compromised keys. You may revoke keys at any time from your dashboard.

6. Payment

Paid plans are billed monthly in advance through Stripe. All charges are in US dollars. You authorize us to charge your payment method on a recurring basis until you cancel.

We do not offer refunds for partial billing periods. If you cancel your subscription, you retain access through the end of the current billing period.

We reserve the right to change prices with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.

7. Rate Limits and Fair Use

Each plan includes the usage limits described on our pricing page. Usage is capped at your tier limit with advance notifications at 80% and 95%. Requests that exceed per-minute or period limits return a 429 Too Many Requests response until the next billing period begins. You can upgrade anytime from your dashboard.

Annual subscriptions are billed once at the start of the 12-month term and receive a 20% discount relative to the monthly price. All other terms apply as described above.

8. Intellectual Property

The Service, including the API, models, and website, is owned by Noe Software Solutions LLC. These Terms do not grant you any ownership rights. You retain all rights to the text you submit for classification.

We do not use your submitted content to train or improve our models.

9. Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages. We are not liable for losses caused by service interruptions.

10. Termination

You may close your account at any time from your dashboard settings. We may suspend or terminate your account if you violate these Terms, with or without notice depending on severity.

Upon termination, your API keys are revoked and your data is deleted in accordance with our Privacy Policy.

11. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or accuracy of classification results. Classification outputs are probabilistic and should not be relied upon as definitive determinations.

12. Limitation of Liability

To the maximum extent permitted by law, Noe Software Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability to you for any claim shall not exceed the amount you paid us in the three months preceding the claim.

13. Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Connecticut.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new effective date. Continued use of the Service after changes constitutes acceptance.
